Notice of Convocation of Extraordinary General Meeting of Shareholders

Pursuant to Article 354 of the Korean Commercial Act and Article 20 of the Articles of Incorporation of the Company, Emro Inc. hereby convenes an Extraordinary General Meeting of Shareholders as follows:

4. Matters Concerning the Exercise of Voting Rights by Beneficial Shareholders

In accordance with the proviso of Article 314(5) of the Financial Investment Services and Capital Markets Act, the Korea Securities Depository (KSD) is not permitted to exercise voting rights on behalf of beneficial shareholders for this Extraordinary General Meeting.
Therefore, shareholders do not need to notify KSD of their intent to exercise voting rights.
Shareholders may exercise their voting rights by : attending the meeting in person, or assigning a proxy to exercise voting rights on their behalf through a duly completed power of attorney.

5. Required Documents for Attendance

- For shareholders attending in person : Valid identification (Resident Registration Card, Driver’s License, Passport, etc.)

- For proxy voting : Power of Attorney (including personal details of shareholder and proxy with seal affixed), Certificate of Seal Impression, Proxy’s identification

6. Additional Information
    - To prevent the spread of COVID-19, all attendees must wear a mask. Entry may be restricted for those not wearing one.
    - Souvenirs for attending shareholders will not be provided to reduce company expenses.
